ウイングアーク テクノロジーズ　製品に関するライセンスの考え方

このページでは、ウイングアーク テクノロジーズ株式会社（以下「ウイングアーク」といいます。）の製品のライセンスについて、ご説明させていただいております。製品購入時の使用許諾に関しては、製品パッケージにある「エンドユーザー・ライセンス契約」をご確認いただきご同意いただくこと、または、製品のインストール時に表示される「ソフトウェア使用許諾契約書」のうち、お客様が取得したライセンスに適用される各条項すべてに同意され、[使用許諾契約の条項に同意します(A)] を選択することで、お客様は各製品を使用していただくことができます。

1.ウイングアークの製品の日本国外での使用および再使用許諾について

• 1.1 各製品（ただし、2011年8月29日以降にウイングアークが正式に出荷開始した製品を対象とし、別途ウイングアークが指定した製品を除くものとします。以下同じ）の使用許諾期間中、以下の全ての条件を遵守することおよび事前にウイングアーク所定の書面を提出のうえウイングアークの書面による承諾を得ることで、お客様は、各製品の日本国外での使用および再使用許諾を行うことができます。これにより、お客様は、以下の条件に基づく各製品の日本国外での使用および再使用許諾に関して、ソフトウェア使用許諾契約書の【試使用ライセンス】「1.試使用許諾」および【正規ライセンス】「1.使用許諾」のうち1.1にかかわらず日本国外で使用することをウイングアークが許諾し、また【正規ライセンス】「3.禁止事項」のうち、3.1および3.2、並びに【試使用ライセンス】「5.準用」で準用される【正規ライセンス】「3.禁止事項」のうち、3.1および3.2、に記載するウイングアークの書面による事前の承諾を得たものとみなされます。
• • （1）再使用許諾先及び利用目的を、以下のいずれかの場合とすること。
    

    （a）	再使用許諾先：	日本国外に事務所を有する、お客様の関連会社（以下「対象関連会社」といいます。）
    	利用目的：	（i）	各製品を日本国内に主たる事務所を有するお客様が日本国内で購入し、日本国内にあるサーバーに導入する場合であって、各製品の利用について、対象関連会社が日本国外からアクセスして使用する目的、または
    		（ii）	各製品を日本国内に主たる事務所を有するお客様が日本国内で購入し、日本国外にあるサーバーに導入する場合であって、お客様が日本国内よりアクセスして使用し、もしくは、対象関連会社が日本国外からアクセスして使用する目的。
    （b）	再使用許諾先：	日本国外に事務所を有する、お客様の委託先（以下「対象委託先」といいます。）
    	利用目的：	各製品を日本国内に主たる事務所を有するお客様が日本国内で購入し、対象委託先が、専らお客様の内部業務に使用するために日本国外で使用する目的。
    （c）	その他ウイングアークが書面により承諾する再使用許諾先及び利用目的。

  • （2）お客様は、お客様の再使用許諾先に「ソフトウェア使用許諾契約書」記載のソフトウェア使用許諾条件（本「ウイングアーク テクノロジーズ　製品に関するライセンスの考え方」の条件を含む。）を遵守させるとともに、その一切の責任を負うものとし、万が一お客様の再使用許諾先の行為によりウイングアークに損害が発生した場合、お客様はその損害の一切を賠償すること。
  • （3）お客様は、ウイングアークの要求があった場合、お客様の再使用許諾先の名称、所在地、お客様との関係、利用態様その他ウイングアークの要求する事項をウイングアークに対して直ちに書面にて報告すること。
  • （4）お客様は、各製品の取引および使用に関わる条約、輸出入関連法令その他（お客様の再使用許諾先の所在地における法令等を含む。）を遵守し、お客様の再使用許諾先に遵守させ、各製品の取引および使用を適正に行うこと。
• 1.2 各製品について、使用許諾期間中にウイングアークの保守サービスの提供が必要な場合は、ウイングアークは、お客様の再使用許諾先ではなく、日本国内のお客様に対して保守サービスを提供することを前提として、以下の全ての条件に従い提供するものとします。
• （1）ウイングアークとお客様間でウイングアーク所定の保守サービス契約を締結し、お客様は、当該保守サービス契約の条件をお客様の再使用許諾先に遵守させること。
• （2）お客様が、お客様の再使用許諾先より各製品に関する照会を受けて、ウイングアークの保守サービスの提供を受けること。
• （3）日本国からウイングアークが可能な保守サービスに限られること。
• （4）その他ウイングアーク所定の条件を設定した場合は、お客様はその条件に従うこと。

On this webpage, we will explain the licenses for WingArc Technologies Inc. (“WingArc”) products. With regard to licenses granted upon the purchase of WingArc products, you may use the product you have purchased by: confirming and consenting to the “End User License Agreement” contained in the product packaging; or consenting to all of the terms which apply to the license you have obtained, out of the terms of the “Software License Agreement” displayed at the time of installation of the product, and selecting [I agree to the provisions of the License Agreement (A)].

1.Use and Sublicensing of WingArc Products Outside Japan

• (1) During the license term of each product (meaning products which WingArc started to formally distribute on or after August 29, 2011, excluding any product separately designated by WingArc; the same applies hereinafter), you may use and sublicense each product outside Japan if you observe all of the conditions specified below, and in advance both submit a document specified by WingArc and obtain a written approval from WingArc. By doing so, with respect to the use and the sublicense of each product under the following conditions, you shall be considered to have been granted a license by WingArc for the use of each product outside Japan, irrespective of “Article 1. Grant of License for Evaluation” in the “License for Evaluation” and Article 1.1 of “Article 1. Grant of License for Production” in the “License for Production” of the Software License Agreement, and to have obtained prior written approval from WingArc as specified in Articles 3.1 and 3.2 of “Article 3. Prohibitions” in the “License for Production” of the Software License Agreement and the same Articles 3.1and 3.2 as applied to “Article 5. Application” in the “License for Evaluation” of the Software License Agreement.


• • a.Sublicensee(s) and purpose of use shall be any one of the following:
    

    （a）	Sublicensee(s):	Any of your affiliates that have an office outside Japan (“Affiliate”).
    	Purpose of Use:	（i）	Where you, having a main office within Japan, purchase each product within Japan and introduce the same to a server located within Japan, Affiliate(s) will access and use such product from outside Japan; or
    		（ii）	Where you, having a main office within Japan, purchase each product within Japan and introduce the same to a server located outside Japan, you will access and use such product from within Japan and Affiliate(s) will access and use such product outside Japan.
    （b）	Sublicensee(s):	Any of your contractors that have an office outside Japan (“Contractor”).
    	Purpose of Use:	You, having a main office within Japan, will purchase each product within Japan, and Contractor(s) will use such product outside Japan for the sole purpose of your internal business.
    （c）	Any other sublicensees and purpose of use as approved in writing by WingArc.

  • b.You shall cause your sublicensee(s) to observe the conditions specified in the “Software License Agreement” including the conditions specified in the “Licenses for WingArc Technologies Products” and assume any and all liabilities thereof; if any of your sublicensee(s) cause any damages to WingArc, you shall pay compensation for any and all such damages.
  • c.Upon WingArc’s request, you shall immediately report in writing to WingArc the sublicensee’s name, location, relationship with you, manner of use, and other matters required by WingArc.
  • d.You shall observe, and cause your sublicense(s) to observe, any treaties, import/export laws and regulations, and others (including, but not limited to, the local laws and regulations that govern the location of your sublicense(s)) relating to the transactions and use of each product and properly carry out the transactions and use of each product.

• (2) If the maintenance services of WingArc are necessary for each product during the license term, WingArc shall provide the same in compliance with all of the following conditions on the premise that WingArc provides the maintenance services to you within Japan and not to your sublicense(s):
• • a.WingArc and you shall enter into a maintenance service agreement specified by WingArc and you shall cause your sublicense(s) to observe the conditions of such maintenance service agreement.
  • b.Upon receiving inquiries from your sublicense(s) on each product, you shall receive the maintenance services of WingArc.
  • c.Maintenance services shall be limited to such maintenance services which WingArc can provide from Japan.
  • d.If any other conditions specified by WingArc are established, you shall observe such conditions.

2.Basic Policy on Licenses Commonly Applicable to WingArc Products

• Standby Licenses/FT (Fault Tolerant) Server License
• [Hot Standby License]
  One additional license will be required (*The price for such additional license will be 50% of the standard price.)
• [Cold Standby License]
  Installation may be made free of charge on one computer only.
  *A product license will be required if there is any possibility of constant use, such as for load balancing.
• [FT (Fault Tolerant) Server License]
  The price of the license to be used on an FT server is 1.5 times the standard price.
  *FT servers make no distinction between hardware and software.
  
  

  Use in a virtualized-environment
  [License in the event of the use being made in a virtualized-environment]
  (1)　If the use is to be made in a virtualized-environment subject to the standard product support of the OS vendor
  　For use in a virtualized-environment, you will need a license for each OS (guest OS) on the virtual server.

  • 　　*For a Server License product, you will need a license for each OS (guest OS) on the virtual server where the product is installed.
  • 　　*For a CPU License product, you will need a license for each CPU and Core allocated to each virtual server OS.
    
    

  　 (2)   If the use is to be made in the virtualized-environment not subject to the standard product support of the OS vendor
  　A license as specified in paragraph (1) above will be required.
  　The maintenance services of WingArc will be provided under the precondition that standard product support is provided by manufacturers for the OS and the preconditioned software.  Therefore, if the use is to be made in a virtualized-environment which is not subject to the standard product support of the OS vendor, the maintenance service of WingArc will not be provided.
  
  

  　(3) If the use is to be made in the standby configuration where a virtualized-environment is preconditioned
  　In a virtualized-environment, if functions such as live migration and failover are used for the purpose of a standby configuration, 50% of the standard price per WingArc product to be installed on the production server (*) will be required as an additional license fee.
  　In a virtualized-environment, the virtual server (guest OS) numbers for standby purposes will not be affected.
  　(* The production server is to be a normally operating server (including a virtual server) on which a WingArc product is installed.)
  
  

  　 (4) Exception to (3) above
  　Notwithstanding paragraph (3) above, if the use is to be made in the standby configuration of the virtualized-environment as a temporary measure, such as in the case of a scheduled suspension of the system associated with the replacement of a server, a version upgrade of the OS or other software, etc., in your system environment, the use may be made without any additional charge within such temporary measure period (system transition period).
